Card applications can be completed using the provided forms and sent to us by post. They can also be completed on this Website, printed out and sent by post or scanned and sent by e-mail. In either case, the application must show a legally valid signature. As of 2021, it is also possible to complete an application on this Website and submit it to us directly (requires verification by VideoID). card complete reserves the right to accept or reject applications. A card contract only comes into effect when the card is delivered to the cardholder.

If any provision of these terms of use is determined to be invalid, it shall not affect the validity of the rest of the terms of use. Rather, the invalid term shall be modified so that it is valid and, as fully as possible, reflects the original economic intent and purpose.

Our official language of contracts, orders and business is German. Warranties are provided in accordance with statutory provisions. Prices quoted are current prices, valid until further notice, and include all taxes and duties. The unit of account is euro.

Disclosure pursuant to Article 65a of the Austrian Banking Act

Article 65a of the Austrian Banking Act requires card complete Service Bank AG to explain on its website how it complies with the provisions of Articles 5 (1) 6 to 9a, 28a (5) 1 to 5, 29, 39b, 39c, 64 (1) 18 and 19, and the Annex to Article 39b.

1. Information on compliance with Article 5 (1) 6 to 9a of the Austrian Banking Act and Article 28a (5) 1 to 5 of the Austrian Banking Act (Fit & Proper)

These provisions define requirements to be met in respect of personal integrity, professional qualifications, necessary experience and sufficient time-based availability of members of a supervisory board and of a management board (“Fit & Proper requirements”). To ensure compliance with the legal requirements, card complete Service Bank AG has introduced a Fit & Proper Process. The Fit & Proper Process defines, among other things, the strategy applied in selecting members of its Supervisory Board and its Management Board, and the process for assessing the qualifications of Supervisory Board and Management Board members.

Before each appointment or reappointment of a member of the Management Board or Supervisory Board or a holder of a key function, their professional suitability and personal reliability are checked and documented in accordance with legal requirements. A corresponding survey is also carried out for existing functions. The information and documents to be submitted by the member of the Management Board or Supervisory Board to be appointed or the holder of key functions are used to assess suitability. The Financial Market Authority is notified of the appointment of members of the Management Board and Supervisory Board, together with the assessment documents, in accordance with the statutory provisions. Regular training and further training measures ensure ongoing suitability.

2. Information on compliance with Article 29 of the Austrian Banking Act (Nominations Committee)

The establishment of a nomination committee pursuant to Article 29 BWG is not required as the credit institution is not of material significance within the meaning of Article 5 (4) BWG.

3. Information on compliance with Articles 39b and 39c of the Austrian Banking Act and with the Annex to Article 39b of the Austrian Banking Act (remuneration policy)

The establishment of a Remuneration Committee pursuant to Article 39c BWG is not required as the credit institution is not of material significance within the meaning of Article 5 (4) BWG. The Committee for Remuneration Matters, which was set up voluntarily, was assigned the tasks necessary to comply with the provisions of Article 39b including the annex.

§ 39b BWG

The principles of the remuneration policy and practices of card complete Service Bank AG are fully in line with the provisions laid down in the Article 39b of the Austrian Banking Act and in the Annex to Article 39b. The basic framework and the minimum standards of UniCredit Group are set within the Group remuneration policy, following the directives (CRD V and CRRII) and guidelines (EBA GL on Sound Remuneration Policies, EBA GL on Internal Governance) published on EU level.

With the aim of ensuring compliance with legal requirements in Austria, the Group remuneration policy has been implemented on a local level by card complete Service Bank AG and provisions set within the Articles of the Austrian Banking Act (Articles 39b and Annex to Article 39b) have been directly implemented and followed. The remuneration policy of card complete Service Bank AG is reviewed on an annual basis and approved by the Management Board and the Remuneration Committee of card complete Service Bank AG. card complete Service Bank AG identifies material risk takers periodically and sets up a list on an ex-ante and ex-post basis. The ex-post list is composed based on the year-end check.

Special provisions are applied to material risk takers. Provisions are made for part of the variable remuneration for this group of employees in conformity with requirements specified by national supervisory authorities. In this context, appropriate instruments are used (UniCredit shares and Phantom Shares).

The Remuneration Committee approves the payment of any variable remuneration in conformitywith legal regulations.

Decisions made in this context are based on the assessment of the levels of capital and liquidity, as well as the annual performance results of the entity. In addition, the material risk takers’ tasks, the company’s position, customary levels of remuneration in the market, and regulatory requirements are assessed.

card complete Service Bank AG steers the implementation of the mentioned remuneration policy and practices also in its subsidiaries in Austria.

4. Information on Article 64 (1) 18 and 19 of the Austrian Banking Act

Financial information listed in § 64 Abs.1 Z19 are evident in the Annual Report of card complete Service Bank AG, whose publication take place within the publication of the financial statements.
